Requirement

Secure Access to Core IP

Ensure that agreements are in place so that the company, once formed, will be able to practice the core intellectual property (IP) on commercially viable terms.
Often healthcare IP is developed with public funding in one or more academic settings. It is important to investors that the needed agreements are in place with the owners/generators of the IP so that the company responsible for commercialization can practice/use it on terms that enable a viable business. This should be done as early as possible while the value of the IP is still generally unknown or low to enable the most favorable terms.
Work with an experienced person, preferably also a lawyer, to develop acceptable terms and execute the needed contracts and agreements with the IP owners for options and/or rights to the core IP. Use templated agreements where possible to reduce transaction costs while covering most continencies. Also, make sure employment agreements are in place to assign IP rights to the appropriate organizations
